Business Entity Formation

Business Law Attorney Serving Thousand Oaks

As of January 1, 2013, all formation and registration documents filed by corporations and businesses with the California Secretary of State must include the business's street name and mailing address. If an individual person is named as the agent for the service of process, you must include that individual's address. Every business must comply with these new rules, or they will be rejected by the Secretary of State's office. Any future requests must be included in the submitted documents, as well. If you are unaware of the business entity filing requirements, please contact us at Pederson Law Offices. We can ensure the paperwork and any requests are filed correctly, as well as help you choose the entity formation that is best for you and your business.

Types of Business Entity Formations

The following is a summary of the primary business entities utilized:

  • A corporation is one of the many types of business entities. When a corporation is formed, potential shareholders exchange money, property, or both for the capital stock. Depending on the type of corporation that is established, it may take special tax deductions.
  • Partnerships are relationships between two or more people who join together to create a trade or business. Every person contributes money, property, labor, or skills; they share losses and profits.
  • Limited liability companies are business structures allowed by a state's statutes. The owners are known as members, and may include individuals, trusts, corporations, other limited liability companies, and foreign entities.
  • Family limited partnerships are limited partnerships created to transfer the ownership of business or investment assets to family members with as little tax consequences as possible.
  • Private family foundations are a family controlled receptacle for charitable contributions by family members, trusts established for their benefit (including charitable remainder trusts and charitable lead trusts) or family business entities, which are established to maintain or aid social, educational, charitable, religious or other activities serving the common welfare.
